Enter the number of directors desired to be elected
in Field 3. The calculator will display the number of shares necessary to elect them in Field 4, based on voting of fractional shares. If fractional shares are not to be voted, round the answer up to the next whole number.

For a given number of shares held, enter that number in Field 4; the calculator will display the number of directors electable in Field 3, generally as a fraction. Round down to the next lower whole number.

Number of Directors User Can or Desires to Elect.
Number of Shares Held or Needed to be Held by the User.
